Terms and Conditions

These Terms and Conditions ("Agreement") govern your use of the ElevateX platform ("the Platform", "we", "us", "our") and the business consulting services ("Services") offered. By accessing, registering for, or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these terms. If you do not agree with these terms, you must not access or use the Platform.

1. Eligibility

To use the Platform, you must be at least 18 years old and legally capable of entering into binding contracts. By accessing or using the Platform, you represent and warrant that you meet these eligibility requirements. Use of the Platform by individuals under the age of 18 is strictly prohibited. By accessing or using our services, you further agree to comply with all applicable local, state, national and international laws and regulations.

2. Services Provided

ElevateX offers a platform that connects startups and businesses with corporate partners to foster strategic collaboration, innovation discovery, matchmaking and business consulting. The Services provided include:

Innovation discovery and evaluation
Matchmaking and partnership facilitation
Consulting for integration and scaling
Strategy and business model analysis
Due diligence services for startups and businesses
We reserve the right to modify, suspend, or discontinue any part of the Platform and Services at any time, with or without notice.

3. User Accounts and Responsibilities

To access specific features of the Platform, users may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

Provide accurate, current, and complete information during registration and to update such information as needed to maintain its accuracy.
Use the Platform in accordance with all applicable laws and regulations.
Not engage in activities that could harm, disrupt, or interfere with the proper functioning of the Platform.

4. User Content and Intellectual Property Rights

You retain ownership of any content that you submit to the Platform ("User Content"), including any ideas, proposals, business plans, or innovation submissions. By submitting User Content, you grant ElevateX a non-exclusive, worldwide, royalty-free license to use, store, reproduce, and display the content solely for the purposes of operating and improving the Platform.

All trademarks, service marks, logos, software and other intellectual property displayed on the Platform are the property of ElevateX or its licensors. Users are prohibited from copying, distributing, or creating derivative works based on such intellectual property without express written permission.

5. Confidentiality and Non-Disclosure

As a part of using the Platform, you may be required to access confidential or proprietary information shared by other users or ElevateX. You agree:

Not to disclose, share, or use this information for any purposes other than those explicitly permitted by the Platform.
To maintain the confidentiality of such information even after termination of your account or the cessation of use of the Platform.
In some cases, users may be required to sign a formal Non-Disclosure Agreement (NDA) as part of engaging with the Platform or participating in consultations.

6. Payments and Fees

ElevateX may charge fees for certain Services provided through the Platform. These fees are outlined clearly during the sign-up process or in relevant service agreements. All payments must be made through accepted methods as indicated on the Platform.
You agree to pay all applicable fees and taxes associated with the Services provided and ElevateX reserves the right to suspend or terminate access to the Platform if payments are not received on time.

7. Termination and Suspension

ElevateX reserves the right to suspend or terminate your access to the Platform or Services at any time, for any reason, including but not limited to:

Violation of this Agreement
Engagement in illegal or unethical activities
Failure to make timely payments
You may terminate your account by submitting a request to ElevateX. Upon termination, all User Content will be deleted from the Platform and no refunds will be provided unless otherwise stated.

8. Limitation of Liability

To the maximum extent permitted by law, ElevateX shall not be liable for any indirect, incidental, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the Platform, Services, or any third-party materials.
ElevateX’s total liability for any claims arising out of or related to this Agreement will not exceed the total amount paid by you to ElevateX for the services in question during the 12-month period immediately preceding the claim.

9. Dispute Resolution and Governing Law

Any dispute arising out of or related to these Terms shall be governed by the laws of the Republic of Bulgaria. The parties agree to submit to the exclusive jurisdiction of the courts in the Republic of Bulgaria.
Before initiating legal action, both parties agree to attempt to resolve any disputes through informal negotiations or, if necessary, mediation. The costs of such dispute resolution efforts will be shared equally by both parties unless otherwise agreed.

10. Modifications to the Terms

We reserve the right to modify these Terms and Conditions at any time. Any changes will be effective immediately upon posting on the Platform. Continued use of the Platform after any such changes constitutes your acceptance of the modified Terms.

11. Miscellaneous

These Terms represent the entire agreement between you and ElevateX with respect to the use of the Platform and Services. If any part of this Agreement is found to be invalid, the remaining provisions will continue in full force and effect.
